Metagenics, San Clemente, CA, and Alticor, Ada, MI, have entered a joint venture agreement whereby Alticor will obtain a substantial ownership interest in Metagenics, which will operate as a stand-alone entity. The current Metagenics shareholders will retain a significant interest in the company under terms of the agreement.

The deal is subject to customary closing conditions, including approval by Metagenics shareholders and antitrust clearance. Detailed terms of the agreement were not disclosed.
